3. Client Responsibilities:

  • You agree to provide accurate and complete information necessary for the provision of our services.
  • You are responsible for obtaining all necessary permissions and licenses for any content you provide to us.
  • You agree to cooperate with Webjutsu in a timely manner to ensure the successful completion of projects.
  • You are responsible for all content uploaded to a website that you own, even if we create the website.

4. Payment Terms:

  • Payment terms will be outlined in individual project proposals or service agreements.
  • Invoices are due according to the agreed-upon payment schedule.
  • Late payments may be subject to interest charges.
  • Webjutsu reserves the right to suspend or terminate services for non-payment.

5. Intellectual Property:

  • Upon full payment, you will own the final deliverables as specified in the project proposal or service agreement.
  • Webjutsu retains ownership of any proprietary tools, methods, or processes used in providing our services.
  • Webjutsu retains the right to display completed projects in its portfolio.

6. Limitation of Liability:

  • Webjutsu shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services.
  • Our liability for any direct damages shall be limited to the amount paid by you for the specific service in question.
  • Webjutsu does not guarantee specific results for SEO or marketing campaigns. Digital marketing inherently contains variables outside of control of webjutsu.
  • Webjutsu is not responsible for any down time or data loss of websites that we maintain. Client is encouraged to maintain seperate backups.

7. Disclaimer of Warranties:

  • Webjutsu provides its services “as is” and “as available” without any warranties, express or implied.
  • We do not warrant that our services will be uninterrupted or error-free.
  • We do not warrant specific ranking results for SEO services. Search engine algorithms change frequently, and results are subject to factors beyond our control.
  • Webjutsu is not responsible for the content of external websites linked from your website.

8. Indemnification:

You agree to indemnify and hold Webjutsu harmless from any claims, damages, or liabilities arising from your use of our services or your breach of these Terms.

9. Governing Law and Jurisdiction:

  • These Terms shall be governed by and construed in accordance with the laws of the State of California.
  • Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in San Luis Obispo County, California.
